These Terms of Service ("Terms") are a binding agreement between you and OC Studio ("OC Studio," "we," "us," or "our"), governing your access to and use of the OC Studio website, application, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old to use the Service. By using the Service you represent that you are 18 or older, that the information you provide is accurate, and that your use complies with all laws that apply to you.
OC Studio provides AI-assisted tools to create and manage original characters, including training custom image models ("LoRAs"), and generating, editing, and animating images. The Service depends on third-party AI providers and may change, add, or remove features at any time. We do not guarantee that any specific model, provider, or feature will remain available.
You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
You are solely responsible for the images, prompts, files, and other content you upload, generate, or share ("User Content"). You agree that you will not use the Service to create, upload, or distribute content that:
The Service applies limited automated content filtering. The absence of a filter does not permit prohibited use — you remain fully responsible for your User Content, and we may remove content and suspend or terminate accounts for violations, with or without notice.
You retain ownership of the inputs you provide and, as between you and us, of the outputs you generate, subject to the rights of others and to the third-party model licenses below. You grant OC Studio a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely to operate, secure, and improve the Service and provide it to you (including sending your inputs to the AI providers that render your results).
Showcase. If you opt in to submit a render to the OC Studio Showcase, you additionally grant us a license to feature and promote that render (with any caption you provide) in the app and in our marketing. You may withdraw a Showcase render by deleting it.
Model licenses. Some AI models available in the Service carry their own license terms that pass through to their outputs. For example, open-license models (e.g., Apache-2.0 base models) generally permit commercial use, while certain models (e.g., "FLUX.1 dev") are licensed for non-commercial use only. You are responsible for complying with the license of whichever model you choose; the app labels these where applicable.
AI outputs can be inaccurate, unexpected, offensive, or similar to existing works, and may not be eligible for copyright or other protection in every jurisdiction. Outputs are provided for your use, but we make no representation that any output is original, non-infringing, or fit for any particular purpose, and you are responsible for reviewing outputs before relying on or publishing them. Different users may receive similar outputs from similar prompts.
The Service, including its software, design, branding, and content we create, is owned by OC Studio and its licensors and is protected by law. We grant you a limited, revocable, non-transferable license to use the Service under these Terms. You may not copy, modify, resell, or create derivative works of the Service itself.
The Service relies on third parties (including hosting, storage, payment, email, and AI-generation providers). Your use may be subject to their terms, and we are not responsible for third-party services. See our Privacy Policy for the providers we use.
We respond to valid copyright notices under the DMCA and will terminate, in appropriate circumstances, the accounts of repeat infringers. See our DMCA Policy.
You may stop using the Service at any time. We may suspend or terminate your access at any time for violation of these Terms, legal risk, or non-payment. On termination, your right to use the Service ends and we may delete your content, subject to our retention obligations. Sections that by their nature should survive (including Sections 4–8 and 11–16) survive termination.
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OC STUDIO AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless OC Studio from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
We may update these Terms. Material changes will be posted here with an updated date and, where appropriate, notified to you. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. You and OC Studio agree to the exclusive jurisdiction of the state and federal courts located in Denton County, Texas for any dispute not subject to arbitration, if any.
